Prior notification on Météo-France/CDC/NYSE Euronext/MetNext concentration operation
The European Commission has published in the Official Journal of the European Union on May 20th 2009 a prior notification of a concentration between the companies Météo-France, CDC, NYSE Euronext and MetNext. Interested parties may submit their views to the Commission about this operation within ten days after this publication.
On April 30th 2009, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) Nº 139/2004, by which Caisse des Dépots et Consignations (‘CDC’, France, belonging to the French State), Météo-France (France, belonging to the French State) and NYSE Euronext (United States) would jointly acquire control of MetNext (France), within the meaning of Article 3(1)(b) of the Regulation, by purchase of shares.
Main activities of concerned undertakings
- Caisse des Dépots et Consignations - CDC: is a publicly owned group operating in personal insurance (CNP Assurances), property (SNI and Icade), capital investment and services.
- Météo-France: gathers and provides French and European weather and climate information.
- NYSE Euronext (Public, NYSE:NYX): operates the world ' s largest and most liquid exchange group and offers the most diverse array of financial products and services. NYSE Euronext, which brings together six cash equities exchanges in seven countries and eight derivatives exchanges, is a world leader for listings, trading in cash equities, equity and interest rate derivatives, bonds and the distribution of market data.
- MetNext: develops and markets products designed to enable industrial leaders to manage and anticipate the impact of weather variations on their businesses, and to enable certain service providers (insurers in particular) to structure index-based weather cover for their customers. In partnership with financial professionals and environment specialists, Metnex develops weather indicators which can be used to support climate coverage.
On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved. Commission notes that this case is a candidate for treatment under simplified procedure.
Interested parties are invited to to submit their possible observations on the proposed operation to the Commission within ten days after its publication on the OJEU.
