Prior notification of a concentration between Danfoss and Sauer-Danfoss

On 5th June 2008, the Commission received a notification of a proposed concentration between Danfoss and Sauer-Danfoss by which the undertaking Danfoss A/S (‘Danfoss’, Denmark) acquires control of the whole of the undertaking Sauer-Danfoss Inc. (‘Sauer-Danfoss’, USA) by way of purchase of shares. Sauer-Danfoss is currently jointly controlled by Danfoss A/S and Sauer Holding GmbH.

Danfoss Group Global: is active in research, development and production of mechanical and electronic components and solutions for refrigeration, heating and air conditioning.

Danfoss will be a global leader within our core businesses, as a highly respected company, which improves quality of life by mastering advanced technologies in customer applications while creating value for all stakeholders.

Sauer-Danfoss: is a worldwide leader in design, manufacture and sale of engineered hydraulic, electric and electronic systems and compenents, for use primarliy in applications of mobile equipment. Sauner-Danfoss with 9,800 employees worldwide, has sales, manufacturing and engineering capabilities in Europe, the Americas and the Asia Pacific area.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission. Oberservations should arrive to the commission no later than the 23rd June 2008 to:
