Control of several joint ventures cleared by the European Commission

The European Commission clears joint control of a newly created joint venture by Marquard & Bahls and Linde, all of Germany. In addition, it also clears the acquisition by Steag GmbH of Solar Millenium AG's jointly controlling stake in Arenales Solar PS, S.L. From Spain.

A newly created joint venture by Marquard & Bahls AG ("M&B") and Linde AG ("Linde"), all of Germany, has been cleared by the European Commission. The joint venture will be active in bulk supply of liquid natural gas as ship fuel (LNG bunkering) in the European Sulphur Emission Control Area ("SECA", i.e. the Baltic Sea, the North Sea, the English Channel and connected inland waterways).

The European Commission also granted clearance the acquisition by Steag GmbH of joint control of Arenales Solar PS S.L. Arenales Solar PS S.L. develops a concentrated solar power plant located in Morón de la Frontera in Spain. It is a joint venture of Fronterasol B.V., ultimately controlled by Deutsche Bank AG from Germany that is offering financial services, OHL Industrial, S.L., a company that is part of the Villar Mir Group (Spain) and whose principal activity is in engineering and the construction of industrial projects, and, following implementation of the cleared acquisition, Steag GmbH, a company active in the field of power and heat generation and technical services.

The simplified merger review procedure under EU Merger Regulation means that the Commission will apply this procedure to the some categories of concentrations, such as two or more undertakings acquire joint control of a joint venture, provided that the joint venture has no, or negligible, actual or foreseen activities within the territory of the European Economic Area (EEA).
